The Partnerships and Limited Liability Companies Study Group was created in the Summer of 2008 by the Secretary of State’s Office. The Study Group held four (4) meetings and several Sub-Group meetings. Copies of the minutes of the meetings and the materials that were distributed at these meetings are set forth below. This Study Group issued a final report jointly with the Corporations Laws Study Group. A link to the Joint Final Report is also set forth below.  Several bills have been introduced into the 2009 Legislature to implement the statutory changes recommended by the Final Report. The Study Group will continue to meet in 2009 to make recommendations for further statutory changes to these areas of law for the 2010 legislative session.

Among other topics, the Study Group is working with the Corporations Laws Study Group in reviewing the Model Registered Agents Act for adoption in Mississippi in the 2010 Legislature.
